Structuring and management of IP rights

Effectively identifying, structuring and managing intellectual property is critical to your business. It can provide a competitive advantage and increase the value of your organization.

It is often difficult to identify IP rights within a company. Everything starts with awareness of the possible presence of know-how or creations on which an intellectual property right might rest. Relevant is attention to management of intellectual property rights, licenses and contracts.

IP Allocation

For legal (and tax) reasons, it is wise to give careful consideration to the "allocation" of the registered or unregistered rights. In almost all cases, it is advisable to place the rights in a company (e.g., holding company or separate company) separate from the risk-bearing operating company, with internal licensing between the various companies. After all, something can always happen that causes the operating company to go bankrupt. It would be a shame if all intellectual property rights then also fell into the hands of the receiver. That would make a restart a lot more difficult.

It is wise to work with an attorney and/or a tax professional early on to identify, optimize and protect your IP portfolio. In addition, it is important to be proactive and continually evaluate the presence, value and protection of your intellectual property assets. With us, you have come to the right place to identify, protect and maximize your IP rights.

In our Tools, you will also find the handy "TITLE" questionnaire that will help you determine what IP rights you have, where they are located and any risks you may face.

Intellectual assets management

In addition to intellectual property, there is a broader concept of intellectual assets. This includes more than just identifiable intellectual property in the legal sense. Examples include know-how, licenses, codes of conduct, processes and workflows, brand image, software and systems.
An invention, creation or further development of such an "asset" can lead to improvements that can then be the subject of a new or additional IP right.
Crucial, therefore, is constant attention to management of intellectual property rights, licenses, contracts and, if necessary, action in the event of infringement or defense against third-party claims. It is wise to engage a knowledgeable attorney in these matters in a timely and even fairly structural manner.
